Commercial Real Estate
We represent clients in all aspects of the buying, selling, financing and leasing of commercial real estate. Our commercial real estate clients include institutional lenders, private sources of capital, limited liability companies, partnerships, corporations, non-profit organizations, and individuals.
We represent clients with respect to many types of real estate, including land, shopping centers, hotels, office buildings, golf courses, service centers, industrial properties, and apartments. Some of the more specific areas comprising our commercial real estate practice are:
- Acquisition and Disposition. We assist in selecting and forming the appropriate ownership entity (including limited liability companies, partnerships, syndications, and joint ventures), negotiating and documenting the purchase, sale, or tax free exchange, and resolving title, survey, and other "due diligence" issues.
- Finance. We assist in structuring and negotiating institutional or private financing for acquisition, development, and operation of real estate for borrowers and lenders, including construction, development, permanent, purchase money, and sale-leaseback financing.
- Operations. Drafting, negotiating and reviewing commercial leases, management agreements, and brokerage contracts.
- Workouts. Representing lenders and borrowers in restructuring troubled loans, including reorganizations, workout agreements, receiverships, foreclosures, and bankruptcies.
